HONG KONG
Company secretarial services – mandatory for all companies incorporated in Hong Kong – comprise all the activities required for a Hong Kong company, in accordance with the Hong Kong Companies Ordinance.
They include:
- Maintaining and updating the statutory books of the company;
- Drafting of directors’ resolutions in relation to routine matters such as:
A / approval of directors’ report and audited accounts, as well as convening of Annual General Meeting; and
B / changes to the Board of Directors’ composition; - Drafting, submitting and filing of particulars for ordinary matters to the Companies Registry; and
- Preparing and submitting the Annual Return to the Companies Registry.
Registered office services refer to the use of Hong Kong ATA’s office address as registered office address, transmission of the correspondence to the address indicated by the client via fax, email, regular mail or courier express.
SINGAPORE
According to the Singapore Companies Act, every Company must appoint a qualified Company secretary within 6 months from incorporation.
Company secretarial services comprise all the necessary activities required to maintain the entity compliant, such as, among the others:
- Maintaining and updating the statutory books of the company;
- Drafting of directors’ resolutions in relation to ordinary; and extraordinary corporate matters such as:
A / approval of directors’ report and audited accounts, as well as convening of Annual General Meeting;
B / changes to the Board of Directors’ structure;
C / approval of the Directors fees; and
D / approval of dividends’ distribution; - preparing and submitting the Annual Return to ACRA.
A Singapore company must appoint at least one director who is ordinarily resident in Singapore (i.e., a Singapore citizen, a Singapore Permanent Resident, or, if certain criteria are met, a person who has been issued an EntrePass or an EntrePass or Employment Pass holder), while there is no limit on the maximum number of directors (either local or foreigner) that may be appointed.
The Company Secretary cannot be appointed also as a director, and vice-versa. However, there is no requirement that directors must be shareholders as well, therefore non-shareholders may be appointed as directors.
Registered office services refer to domiciliation of the registered office address of the company at ATA’s office address. The service includes the transmission of the correspondence received to the address indicated by the client via fax, email, regular mail or courier express.
